MicroTape Terms of Use

These Terms of Use (the “Terms”) govern app-specific aspects of your use of the MicroTape mobile application (the “App”) provided by Wavefold Labs LLC (“Wavefold Labs,” “we,” “us,” or “our”). They supplement the Wavefold Labs Terms of Service (the “General Terms”) and Apple’s Standard End User License Agreement described below.

By obtaining, accessing, or using the App, you agree to these Terms and the General Terms. If you are acting for an organization, you represent that you can bind it. If you do not agree, do not use the App.

1. Relationship to the General Terms and Apple’s Standard EULA

The General Terms apply to the App and related Wavefold Labs websites and supporting services except where these Terms provide an app-specific rule or applicable App Store terms govern. Capitalized terms not defined here have the meanings given in the General Terms.

Your license to use the App is governed by the Apple Standard End User License Agreement (“Apple EULA”). These Terms and the General Terms supplement, and do not replace or restate, the Apple EULA.

The Apple EULA addresses the scope and termination of the App license, license restrictions, external services, warranties, limits of liability, export compliance, and governing law. If the Apple EULA conflicts with these Terms or the General Terms on a matter it governs, the Apple EULA controls to the extent of the conflict. If these Terms conflict with the General Terms on an app-specific matter, these Terms control to the extent of the conflict; otherwise, the General Terms control.

2. Eligibility

You must be at least 13 years old to use the App or its supporting online services. If you are between 13 and the age of legal majority where you live, your parent or legal guardian must review and agree to these Terms and the General Terms on your behalf.

3. App Use

You may use the App for personal or commercial audio work, subject to the Apple EULA, these Terms, and applicable law.

You may not use the App or its supporting online services to:

  • Record, create, possess, or distribute unlawful content;
  • Bypass subscription checks, access controls, or other technical protections;
  • Interfere with or probe the App, its supporting services, or another person’s use of them; or
  • Introduce malicious code or engage in fraudulent or abusive activity.

The Apple EULA contains the other restrictions that apply to your license to the App.

4. Your Recordings and Other Content

You retain ownership of audio, titles, notes, tags, locations, edits, and other content you create or import using the App (“Your Content”). Wavefold Labs does not receive a license to use Your Content merely because you record, edit, or store it with the App.

You are responsible for Your Content and for deciding when and with whom to share or export it. You must have the rights and permissions needed to create, import, edit, export, and share Your Content.

Audio-recording and location laws vary by jurisdiction, and some places require the consent of every person being recorded. You are responsible for giving legally required notices, obtaining legally required consents, and respecting privacy, confidentiality, intellectual-property, and publicity rights.

5. MicroTape Premium

Some features require an auto-renewable MicroTape Premium subscription. The purchase screen identifies the features, subscription period, trial or promotional terms, and price for the offer presented to you.

Subscriptions are purchased, billed, renewed, managed, and refunded by Apple under the terms shown at purchase and Apple’s applicable rules. Subscriptions renew automatically unless cancelled. You can manage or cancel a subscription through your Apple Account; deleting the App does not cancel it.

When Premium access ends, Your Content remains yours, but Premium editing, processing, rendering, or export features may no longer be available. The App’s restore function may be used to restore an eligible purchase.

6. Storage and Backups

When iCloud Drive is available, the App stores Your Content in its iCloud Drive container so Apple may synchronize it through your iCloud account. When iCloud Drive is unavailable, the App uses local device storage as a fallback.

Synchronization may be delayed or interrupted by network conditions, device settings, storage availability, or Apple services. You are responsible for maintaining enough device and iCloud storage and for exporting or backing up important recordings.

7. On-Device Analysis

If on-device content classification is enabled, the App may analyze audio locally to generate sound tags and, when supported, temporarily transcribe portions of speech in memory to generate topic tags. Some Apple speech assets may need to be downloaded before speech-topic analysis is available.

Automated tags may be incomplete or inaccurate. Do not rely on them for safety-critical, medical, legal, employment, accessibility, or other high-stakes decisions.

8. Privacy Notice

The MicroTape Privacy Policy and the Wavefold Labs Privacy Policy separately explain how the App and our related services handle information. Those policies are notices and are not incorporated into or made part of these Terms. This separation does not limit any rights or obligations under applicable privacy or consumer-protection law.

9. Ownership of the App

Wavefold Labs and its licensors retain their rights in the App, its branding, and its documentation. Your rights to install and use the App are those granted by the Apple EULA.

10. Features and Supporting Services

Features may vary by App version, device capability, operating system, locale, subscription status, or availability of system components and supporting services. We may update, add, remove, suspend, or discontinue features or supporting services.

We may restrict access to supporting online services if you materially violate these Terms, misuse those services, or if restriction is reasonably necessary to protect users, Wavefold Labs, or third parties. Restricting a supporting service does not cancel an App Store subscription; subscriptions must be cancelled through Apple.

11. Warranties, Liability, and Consumer Rights

The warranty disclaimers and limitations of liability governing the App are set out in the Apple EULA. The disclaimers and limitations in the General Terms apply to related Wavefold Labs websites and supporting services and to matters not governed by the Apple EULA. Nothing in these Terms or the General Terms limits a warranty, remedy, or consumer right that cannot lawfully be limited.

12. Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Wavefold Labs and its members, employees, contractors, affiliates, and licensors from third-party claims, damages, liabilities, costs, and expenses arising from Your Content, your unlawful recording or sharing, your misuse of the App or supporting services, or your material violation of these Terms or another person’s rights.

13. Resolving Issues

Before filing a formal claim, please contact us and describe the issue so we can try to resolve it informally. The governing-law, venue, and general provisions in the General Terms apply except to the extent the Apple EULA controls or applicable law requires otherwise. Any mandatory consumer protections and rights available where you live remain unaffected.

14. Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms and effective date and give reasonable advance notice of material changes. Changes apply prospectively. Your continued use of the App after updated Terms become effective means you accept the updated Terms to the extent permitted by law. Nothing in an update limits rights that cannot lawfully be changed without your agreement.
